According to the company’s website press release on March 30, 2023, reference is made to the business restructuring of ceramic tiles and sanitary wares of the group of subsidiaries announced by The Siam Cement Public Company Limited (the “Company” or “SCC”) on March 29, 2023.
SCC would like to inform that the Board of Directors’ Meeting of SCG Decor Company Limited (“SCG Decor”) held on 29 March 2023 resolved to approve the restructuring plan, which SCG Decor has plan to issue and offer the new ordinary shares through the initial public offering and listing their ordinary shares on the Stock Exchange of Thailand. This initial public offering will be conducted concurrently with the tender offer of all shares of SCG Ceramics Public Company Limited (or “COTTO”) held by other shareholders at THB 2.40 per share (the “Tender Offer”) (after the resolution of the shareholders of COTTO has approved the delisting of COTTO’s shares from the SET and the delisting of COTTO’s shares was approved from the SET).COTTO’s shareholders who accept the Tender Offer will receive SCG Decor’s newly-issued ordinary shares (Share Swap) as the share consideration provided that there shall be no cash alternative.
